1. Introduction

Welcome to Orange West Business Coaching (“OWBC”, “we”, “us”, or “our”). These Terms and Conditions govern your use of our services, website, and any interactions with OWBC. By engaging with us, you agree to comply with and be bound by these Terms.

2. Services

OWBC offers business coaching services, including but not limited to: business planning, strategy development, operational guidance, leadership coaching, and SME advisory support. Each engagement will be defined by a separate written agreement, outlining the scope of services, timelines, and fees.

3. Client Responsibilities

Clients agree to

• Provide accurate and complete information necessary for service delivery.
• Cooperate in a timely manner.
• Acknowledge that outcomes depend on their own efforts, decisions, and implementation.

4. Fees & Payment

• Fees will be agreed upon in writing before services commence.
• Invoices are payable within 14 days unless otherwise specified.
• Late payments may incur additional charges or service delays.

5. Confidentiality

We respect client confidentiality. All sensitive information shared during our work will be handled with care and discretion, except where disclosure is required by law.

6. Intellectual Property

All tools, frameworks, and materials shared by OWBC remain our intellectual property unless agreed otherwise in writing. Clients may not reproduce or share these without permission.

7. Limitation of Liability

While we aim to provide valuable guidance, OWBC is not liable for any direct, indirect, or consequential losses arising from the implementation (or lack thereof) of our advice or services.

8. Termination

Either party may terminate the engagement with written notice, subject to any terms in a signed agreement. Any outstanding fees remain payable up to the termination date.

9. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Updates

OWBC reserves the right to amend these Terms and Conditions at any time. Updated terms will be posted on our website or shared directly with clients.
